A Finance Attorney provides legal counsel and support related to a wide range of financial transactions and regulatory compliance matters. They are experts in laws and regulations governing lending, securities, investment banking, and other financial activities. This position requires a strong understanding of financial markets, excellent analytical skills, and the ability to communicate complex legal concepts effectively.
Responsibilities:
- Drafting and Negotiating Financial Agreements: Prepare, review, and negotiate various financial agreements, including loan agreements, security agreements, underwriting agreements, and indentures. Ensure agreements comply with applicable laws and regulations and protect the client's interests.
- Securities Law Compliance: Advise clients on compliance with federal and state securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and related regulations. Assist with securities offerings, private placements, and other capital market transactions.
- Lending and Banking Regulations: Counsel clients on compliance with lending and banking regulations, such as the Truth in Lending Act (TILA), the Real Estate Settlement Procedures Act (RESPA), and the Bank Secrecy Act (BSA).
- Mergers and Acquisitions (M&A): Provide legal support for M&A transactions, including due diligence, drafting and negotiating transaction documents, and advising on financing arrangements.
- Restructuring and Bankruptcy: Represent clients in restructuring and bankruptcy proceedings, advising on debt restructuring, asset sales, and other related matters.
- Regulatory Advocacy: Monitor and analyze changes in financial regulations and advise clients on the potential impact of those changes. Advocate for clients' interests before regulatory agencies.
- Legal Research and Analysis: Conduct thorough legal research on complex financial law issues and provide clear and concise legal advice to clients.
- Client Communication: Maintain regular communication with clients, providing updates on legal developments and advising on strategic decisions.
- Team Collaboration: Collaborate with other attorneys and professionals within the firm to provide comprehensive legal services to clients.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the bar in the relevant jurisdiction.
